本日（5月28日）、一部報道機関により、八代市議会議員が2019年に当社が受注した八代市新庁舎建設工事に関してあっせん収賄罪で 起訴されたとの報道がありました。
本件に関しましては、当社は、2025年10月の報道を受けて、外部の弁護士による特別調査 を進めてまいりました。2026年１月、当社及び親会社であるインフロニア・ホールディングス株式会社は、捜査機関に自主申告を行うこととし、 現在も捜査に全面的に協力をしております。
このような事態に至ったことは誠に遺憾であり、株主及び投資家の皆様をはじめ、関係者の皆 様には多大なるご心配とご迷惑をおかけしておりますこと、改めて深くお詫び申し上げます。
当社及びインフロニア・ホールディングスは、2026 年５月 13 日に公表しました通り再発防止検討委 員会を設置し、全社を挙げて再発防止に取り組んでまいります。
本日、今回の事態を重く受け止め、役員の報酬を自主返上することといたしましたので、下記の通りお知らせいたします。
なお、本件に関与した職員に対しては、社内規程に則り厳正な処分を行います。

Notice Regarding Voluntary Reduction in Executive Compensation at a Subsidiary
Today, certain media outlets reported that a member of the Yatsushiro City Council had been indicted on charges of bribery relating to the new Yatsushiro City hall construction project awarded in 2019 to our subsidiary, MAEDA CORPORATION.
In response to media reports made in October 2025, MAEDA CORPORATION has been conducting a special investigation led by external legal counsel. In January 2026, the Company and MAEDA CORPORATION voluntarily reported the matter to the relevant investigative authorities and continue to cooperate fully with the ongoing investigation.
We deeply regret that this situation has arisen, and once again extend our sincerest apologies to our shareholders, investors, and all other stakeholders for the significant concern and inconvenience caused.
As announced on May 13, 2026, the Company and MAEDA CORPORATION have established a Recurrence Prevention Review Committee at MAEDA CORPORATION and will work across the entire organization to prevent any recurrence.
Taking the seriousness of this matter into consideration, we have decided today to implement a voluntary reduction in executive compensation, as described below.
Employees involved in this matter will be subject to strict disciplinary action in accordance with internal regulations.
